Please read these Terms of Service ("Terms", "Terms of Service", or "Agreement") carefully before using the Operalta platform (the "Service", "Platform") operated by Operalta Inc. ("Operalta", "we", "us", or "our").

By accessing or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

AI-GENERATED CONTENT LIMITATIONS

All content generated by Operalta uses artificial intelligence (including Claude Sonnet 4.5 by Anthropic, Mistral AI models, and other large language models) and may contain errors, inaccuracies, hallucinations, biases, or outdated information. AI-generated content should always be verified by qualified professionals before relying on it for business, financial, legal, or operational decisions. Operalta makes no guarantee regarding the accuracy, completeness, reliability, or suitability of AI-generated content. You acknowledge that AI systems are probabilistic and may produce incorrect or misleading outputs. Always verify AI-generated content with human expertise before acting on it.

THIRD-PARTY DATA LIMITATIONS

Market intelligence, research briefings, and web-based insights rely on third-party data sources (including SERP API, You.com, and publicly available web content). Operalta does not guarantee the accuracy, completeness, timeliness, or reliability of third-party data. Third-party data may be subject to separate terms of use and copyright restrictions. You are responsible for respecting source material copyrights when sharing or redistributing intelligence reports. Operalta is not liable for decisions made based on third-party data.

NO GUARANTEE OF ACCURACY

Operalta's memory extraction, taxonomy classification, decision tracking, and report generation features are automated AI processes that may miss, misclassify, misinterpret, or incorrectly summarize information from your conversations and documents. Review all extracted decisions, hypotheses, experiments, blockers, and reports before relying on them for business operations. Operalta is not responsible for errors, omissions, or inaccuracies in extracted or classified content.

NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT

Operalta is a tool to assist with decision intelligence, institutional memory, and board reporting. It does not replace professional judgment, expert consultation, or human oversight. All decisions should be verified by qualified professionals in the relevant domain (finance, law, operations, product, etc.). You retain full responsibility for all business decisions made using the Platform.

1. Service Description

1.1 What Operalta Does

Operalta is a SaaS platform that provides:

  • Conversational AI: Natural language interaction with Claude Sonnet 4.5 and other large language models for startup-specific guidance across Product, Growth, Finance, and Operations functions.
  • Institutional Memory: Automated extraction and classification of decisions, hypotheses, experiments, blockers, and other structured knowledge from conversations into a taxonomy-based memory system.
  • Market Intelligence: Automated web research and synthesis using third-party search APIs (SERP API, You.com) to generate market intelligence briefings, competitive analysis, and monthly context reports.
  • Board Reporting: AI-generated board reports, investor updates, weekly founder summaries, risk dashboards, and causal chain analysis based on your institutional memory.
  • Document Processing: Upload and AI-powered analysis of PDFs, Office documents, pitch decks, financial models, and images using Claude Vision and Mistral Pixtral.
  • Multi-User Collaboration: Team workspaces with role-based access (founder, co-founder, board member, advisor, investor, observer) and shared conversations.
  • Networks: VC portfolio aggregation, advisor groups, and industry cohorts with cross-company activity streams and insights (subject to explicit consent).
  • Async Processing: Background job queue for memory extraction (≈30s), report generation (≈45s), and document analysis (≈60s).

1.2 What Operalta Does NOT Do

Operalta explicitly does NOT:

  • Provide financial, investment, legal, tax, accounting, or other professional advice (see Disclaimers above)
  • Guarantee accuracy, completeness, or reliability of AI-generated content
  • Replace professional judgment, expert consultation, or human oversight
  • Guarantee job completion times or service availability (best-effort basis, no SLA unless Enterprise tier)
  • Provide data backup or disaster recovery services (you are responsible for exporting your data)
  • Prevent data loss from user actions (deletions are permanent after 30-day window)
  • Create SEC-compliant investor disclosures or regulatory filings (reports are for internal use only)
  • Train AI models on your data for use by other customers (your data remains private)

1.3 Service Availability

Operalta operates on a best-effort basis. We target 99% uptime but do not guarantee specific service levels unless you have an Enterprise tier agreement with a custom SLA. The Service may be unavailable due to maintenance, updates, third-party provider outages, or other factors beyond our control. We will provide advance notice of scheduled maintenance when possible.

2. Eligibility & Account Creation

2.1 Eligibility

To use Operalta, you must:

  • Be at least 18 years old
  • Be authorized to represent your company (if creating a company account)
  • Provide accurate, complete, and current information during registration
  • Comply with all applicable laws and regulations in your jurisdiction

By creating an account, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

When you create an account, you must:

  • Provide accurate, complete, and current information (name, email, company details)
  • Maintain the security of your account credentials (password, session tokens)
  • Promptly update your account information if it changes
  • Notify us immediately of any unauthorized access or security breach

Failure to comply with these requirements constitutes a breach of these Terms and may result in immediate termination of your account.

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account (including actions by team members you invite)
  • Notifying us immediately if you suspect unauthorized access

Operalta will never ask for your password via email or phone. We implement security measures (encryption, rate limiting, row-level security) but cannot guarantee absolute security. You acknowledge that internet transmission is never 100% secure.

3. Subscription & Billing

3.1 Pricing Tiers

Operalta offers the following subscription tiers (pricing in CHF, monthly):

  • Series A: 200 CHF/month (3 founder seats, 2.5M tokens/month)
  • Series B: 500 CHF/month (5 founder seats, 6M tokens/month, advanced reporting, priority support)
  • Series C: 1,000 CHF/month (8 founder seats, 12M tokens/month, analytics, audit logs, integrations, SAML/SSO)

3.2 Free Trial

New customers receive a 14-day pilot period with 250,000 tokens. The pilot requires an onboarding call. At the end of the pilot, your account will automatically convert to the Series A tier unless you cancel before the trial ends. No credit card is required for the trial.

3.3 Add-Ons

Optional add-ons (monthly pricing):

  • Investor/View-Only Seats: 100 CHF per seat
  • Integrations Bundle (Notion, Jira, HubSpot): 250 CHF
  • Success Retainer (dedicated operator support): 2,000 CHF

3.4 Overage Charges

If you exceed your monthly token budget, overage charges apply at 25 CHF per additional 1 million tokens. Overages are billed at the end of each monthly cycle. You can monitor your token usage in the account settings dashboard.

3.5 Payment Terms

Subscriptions are billed monthly in advance. Payment is processed via Stripe. By subscribing, you authorize Operalta to charge your payment method on a recurring basis. You are responsible for maintaining valid payment information.

3.6 Auto-Renewal & Cancellation

Subscriptions automatically renew each month unless cancelled. You may cancel at any time via the account settings page. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months or unused tokens. Upon cancellation, you will retain access until the end of your paid period, after which your account enters a 30-day deletion window.

3.7 Refund Policy

All sales are final. We do not provide refunds for:

  • Partial months or mid-cycle cancellations
  • Unused tokens or features
  • Service dissatisfaction (we encourage using the 14-day trial to evaluate the Platform)

Refunds may be issued at our sole discretion in cases of billing errors, prolonged service outages, or exceptional circumstances.

3.8 Price Changes

Operalta reserves the right to change pricing at any time. We will provide at least 30 days' advance notice of price increases via email. Price changes apply to new subscriptions and renewals after the notice period. If you do not agree to a price increase, you may cancel your subscription before the new pricing takes effect.

4. Your Data & Content

4.1 Data Ownership

You own your data.

All content you create, upload, or store in Operalta—including conversations, decisions, hypotheses, experiments, blockers, company context, metrics, reports, files, and annotations—remains your exclusive property. Operalta claims no intellectual property rights, title, or ownership over your data.

4.2 License Grant to Operalta

By using the Service, you grant Operalta a limited, non-exclusive, worldwide, royalty-free license to:

  • Process, store, and display your data solely for the purpose of providing the Service to you
  • Transmit your data to third-party AI providers (Anthropic Claude, Mistral AI) for processing
  • Transmit your data to infrastructure providers (Vercel, Supabase, Cloudflare) for hosting and delivery
  • Transmit search queries to intelligence providers (SERP API, You.com) for market research features

This license terminates when you delete your account (subject to the 30-day deletion window and backup retention).

4.3 No Training on Customer Data

We will never sell your data or use it to train AI models for other customers.

Your data is processed by third-party AI providers (Anthropic, Mistral) under Data Processing Agreements (DPAs) that prohibit retention or training on customer data. According to Anthropic's DPA, your data is not retained after processing and is not used to train AI models.

4.4 User Warranties

You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to upload and use all content you provide
  • Your content does not infringe, violate, or misappropriate any third-party intellectual property, privacy, or other rights
  • Your content does not contain malicious code, viruses, malware, or other harmful components
  • Your content complies with all applicable laws and regulations

You are solely responsible for your content. Operalta is not responsible for content uploaded by users.

4.5 Prohibited Content

You may not upload or share content that:

  • Is illegal, fraudulent, defamatory, obscene, or harassing
  • Infringes intellectual property rights (copyrights, trademarks, patents, trade secrets)
  • Contains personal data of third parties without consent (unless lawfully obtained)
  • Contains malicious code, viruses, or attempts to breach security
  • Impersonates others or includes false or misleading information
  • Violates export control, sanctions, or other regulatory restrictions

Operalta reserves the right to remove prohibited content and suspend or terminate accounts that violate this policy.

4.6 Data Retention

Active Accounts: Your data is retained indefinitely while your account is active.

Deleted Accounts: When you delete your account, you have a 30-day window to export your data (conversations, streams, reports, files). After 30 days, all data is permanently deleted and cannot be recovered. Backups are purged within 90 days. Audit logs (region access logs, compliance logs) are retained for 7 years as required by EU regulations.

Third-Party Deletion: Data sent to third-party providers (Anthropic, SERP API, You.com) is not retained by those providers after processing, per their DPAs. However, Operalta cannot guarantee deletion from third-party systems beyond what is contractually stipulated.

4.7 Data Export (Portability)

You may export your data at any time via the account settings page in JSON or CSV format. Exports include:

  • Conversations (messages, roles, timestamps)
  • Streams (decisions, hypotheses, experiments, blockers, taxonomy tags)
  • Reports (board reports, investor updates, intelligence briefings)
  • Company context and metrics
  • Files and attachments (via signed download URLs)

We recommend exporting your data regularly as a backup. Operalta is not responsible for data loss.

5. AI Processing & Third-Party Services

5.1 AI Providers

Operalta uses the following AI providers to process your data:

  • Anthropic Claude Sonnet 4.5: Primary conversational AI, memory extraction, intelligence synthesis, and report generation. Data processed in the United States. Governed by Anthropic Data Processing Agreement (DPA).
  • Mistral AI (Pixtral 12B, Mistral Large): Optional document processing for French-market clients (EU-based). Activated via configuration setting.

AI Processing Terms: By using Operalta, you consent to your data being transmitted to and processed by these third-party AI providers. AI providers process data according to their terms of service and privacy policies:

5.2 Intelligence & Search Providers

Market intelligence features use the following third-party providers:

  • SERP API (Primary): Structured Google search results for market intelligence briefings. Data processed in the United States.
  • You.com API (Fallback): AI-powered search with summaries when SERP API is unavailable. Data processed in the United States.

Third-party data may be inaccurate, incomplete, outdated, or subject to copyright restrictions (see Disclaimers). Operalta is not liable for third-party data quality.

5.3 Infrastructure Providers

Operalta relies on the following infrastructure providers:

  • Vercel: Edge runtime, serverless functions, CDN. Functions execute in EU region (fra1 - Frankfurt). Static assets cached globally. Vercel is certified under the EU-US Data Privacy Framework (DPF). Note: Some routing data (IP addresses) may transit through US data centers for DDoS protection.
  • Supabase: PostgreSQL database, authentication, file storage. Data stored in eu-central-2 (Zurich, Switzerland). Future regions planned: US, Asia-Pacific, MENA.
  • Upstash Redis: Rate limiting and caching (EU region - Frankfurt)
  • Cloudflare: CDN, web application firewall, DDoS protection (global edge network)

5.4 Payment Processor

Payment processing is handled by Stripe, a PCI-DSS compliant payment processor. Operalta does not store your full credit card information. Stripe processes payment data according to their terms:

5.5 Right to Change Providers

Operalta reserves the right to change third-party providers or data processing regions at any time to ensure service quality, continuity, compliance, and cost-effectiveness.

We will provide advance notice of material changes to sub-processors (AI providers, infrastructure providers) via email. A current list of sub-processors is maintained in our Privacy Policy and at operalta.com/privacy#sub-processors.

If you object to a new sub-processor, you may terminate your account within 30 days of the notice. Continued use of the Service after the notice period constitutes acceptance of the new sub-processor.

5.6 Future Integrations

Optional integrations (user-enabled only, not active by default):

  • Notion: Bi-directional document sync (250 CHF/month add-on)
  • HubSpot: CRM integration (250 CHF/month add-on)
  • Jira: Issue tracking sync (250 CHF/month add-on)
  • Slack: Team notifications and commands (Series C tier)
  • Microsoft Teams: Team notifications and commands (Series C tier)

By enabling an integration, you authorize Operalta to share relevant data with that third-party service according to their terms and privacy policies. You may disable integrations at any time.
